San Jose, California, United States
Company: Super Micro Computer
Supermicro is seeking a Sr. Commercial Counsel to lead significant, complex transactions and serve as a trusted legal advisor to business leaders. You will structure and negotiate strategic commercial arrangements, provide clear advice on material legal and business risks, and improve the frameworks used to support Supermicro's customer, supplier, and partner relationships. This is a hands-on senior individual-contributor role with broad cross-functional influence
- Lead the structuring, drafting, and negotiation of sophisticated commercial agreements, including significant customer and supplier arrangements, strategic channel and distribution relationships, OEM transactions, licensing, support, services, and marketing agreements.
- Act as a primary legal partner to senior Sales, Operations, Product Management, Finance, and other business leaders, translating complex legal issues into clear commercial choices and recommendations.
- Own the legal strategy for high-value or high-risk negotiations, including liability allocation, indemnities, warranties, intellectual property, confidentiality, data protection, remedies, and exit rights.
- Advise on the commercial aspects of strategic partnerships, new products, programs, and business models; identify and coordinate specialist input on regulatory, compliance, and cross-border issues.
- Lead improvements to commercial templates, negotiation playbooks, approval and escalation standards, and scalable contracting practices.
- Mentor more junior attorneys and contract professionals, provide targeted training to stakeholders, and manage outside counsel when warranted.
- Contribute to broader Legal team priorities and lead cross-functional initiatives that strengthen legal risk management while enabling business execution.
- J.D. (or equivalent law degree) and active membership in at least one U.S. state bar, or eligibility to practice as in-house counsel in the relevant jurisdiction.
- At least 8 years of substantial commercial transactions experience at a law firm, in-house legal department, or both; meaningful in-house experience strongly preferred.
- Demonstrated success independently leading complex, high-stakes negotiations and advising senior stakeholders on legal and commercial tradeoffs.
- Deep command of commercial contracting and risk allocation, with strong drafting skills, pragmatic judgment, and an ability to find workable solutions to difficult issues.
- Ability to set priorities and drive matters to completion with limited oversight in a dynamic, cross-functional environment.
- Credibility, discretion, excellent communication and influencing skills, and a track record of improving contracting processes or mentoring colleagues.
