User Agreement

This User Agreement is the master contract for Career Engine (the "Platform"), operated by Career Engine Inc. ("we," "us," or "our"). It sets out, in one place, the ground rules that apply across the Platform. Four companion documents fill in the specifics: the Job Seeker Terms, the Platform Terms, the Data Sharing Agreement, and the End User Licence Agreement, alongside our Privacy Policy. Where one of those documents speaks to a specific point in more detail, it controls on that point; this Agreement governs everything else. By creating an account, you agree to all of them.

1. Who This Agreement Is Between

2. What the Platform Does

Career Engine reads your résumé, compares it against job postings we've collected, and returns a ranked, explained list of matches. That is the extent of the Service — we surface and score opportunities. We may expand the Service over time to add new features and capabilities.

3. Creating and Keeping an Account

You need an account to use the Platform, and you need to be at least 18 years old to open one. One account per person — automated or duplicate signups will be removed. Keep your login credentials to yourself; you're responsible for activity under your account until you tell us it's been compromised. The full mechanics of registering, closing an account, and how we handle violations live in the Job Seeker Terms.

4. Your Content, and the Licence You Give Us

You own your résumé and anything else you upload. By creating and maintaining an account, you grant us an unlimited, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, analyze, and display that content, solely to operate and provide the Service to you — the access we need to do our job: matching, scoring, storing, and showing it back to you, including by running it through the AI and algorithmic tools described in our Privacy Policy. We don't use your content to train models for other customers, sell it, or hand it to employers. Delete your account and the license ends.

5. Using the Platform Responsibly

Use the Platform for what it's for: finding and evaluating jobs. The full list of prohibited conduct is in the Platform Terms' Acceptable Use & Prohibited Conduct section; breaking those rules can mean losing access under the terms described there and in Section 12 below.

6. What Belongs to Us

The Platform itself — its code, design, matching and scoring logic, and the Career Engine name and marks — belongs to Career Engine Inc.. Using the Service doesn't transfer any of that to you. The licence we grant you to run the Platform on your own device or browser is spelled out in the End User Licence Agreement.

7. Third Parties Involved in the Service

We rely on outside vendors to run pieces of the Platform — payment processing, authentication, hosting, email delivery, and AI processing among them. Exactly who they are, what they see, and what they're allowed to do with it is set out in full in the Data Sharing Agreement. None of them are permitted to use your data for their own purposes, and none of them are employers or recruiters — Career Engine has no marketplace feature that would put your profile in front of one.

8. Fees

Parts of the Platform are free; others require a paid subscription. Where a fee applies, the billing cadence, trial terms, and cancellation mechanics are covered in the Job Seeker Terms. Nothing in this Agreement changes what's charged or when.

9. No Guarantees

We provide the Platform on an "as is" basis and don't promise it will be error-free, uninterrupted, or that any particular match will lead anywhere. Scoring reflects our best algorithmic read of fit between your résumé and a posting — treat it as a prioritization aid, not a verdict, and confirm anything important yourself before you act on it.

10. Limits on What We Owe You

If something goes wrong with the Service and we're responsible, the most you can recover from us is capped at the amount you paid us over the twelve months before the claim arose, and we won't be responsible for indirect or downstream losses (lost job offers or missed opportunities, for instance), to the extent the law lets us set that limit.

11. If a Claim Is Made Against Us Because of You

If someone brings a claim against us arising from content you uploaded, how you used the Platform, or your breach of this Agreement or its companion documents, you agree to cover the reasonable costs that result, to the extent the law allows.

12. Ending This Agreement

You can walk away at any time by closing your account. We can suspend or end your access if you break these terms or put the Platform or other users at risk, as described further in the Platform Terms. We may also suspend or end an account, or discontinue the Service itself, at any time for any reason, with notice where practicable. Whichever way it ends, the parts of this Agreement meant to outlast the relationship — ownership, liability limits, and dispute resolution among them — keep applying.

13. Governing Law and How Disputes Get Resolved

This Agreement and everything it references are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and any dispute that isn't resolved informally will be brought in the courts of that state.

14. A Few Standard Terms

If a court finds one piece of this Agreement unenforceable, the rest stays in effect. Our failure to act on a violation right away isn't a waiver of our right to act later. You can't transfer your rights under this Agreement to someone else; we may transfer ours as part of a merger, acquisition, or sale of the business.

15. Changes to This Agreement

We may update this Agreement and its companion documents from time to time. If a change is material, we'll tell you by email or through a notice on the Platform before it takes effect; continuing to use the Platform after that means you accept the update.

16. Definitions

"Platform" means the Career Engine website, application, and underlying Service.

"Service" means the job-matching, scoring, and related functionality we make available through the Platform.

"Content" means your résumé and any other material you upload or submit.

"You" or "your" means the individual who registers for and uses an account.

Job Seeker terms

Welcome to Career Engine (the "Platform"), operated by Career Engine Inc. ("we," "us," or "our"). These Job Seeker Terms ("Terms") apply to your access and use of our candidate-facing Services. Creating an account means you agree to these Terms.

1. Who We Are

2. Eligibility & Onboarding

Minimum age: you must be at least 18 years old to use the Platform.

Registration: create an account, upload a résumé, and set a Focus (your target roles, locations, and seniority range). Each person may register a single account; we may verify this, including by phone number, and accounts we believe are duplicates or were created by a bot or other automated means will be removed.

Account use & termination: you may stop using the Platform and delete your account at any time from your account settings, or by contacting us. We may suspend or terminate an account that violates these Terms, the Platform Terms' Acceptable Use & Prohibited Conduct rules, causes harm to the Platform or other users, or breaches applicable law — and, more broadly, we may suspend or terminate an account at any time, with or without cause.

3. Scope of Service & Licence

Career Engine screens job postings against your résumé and surfaces scored, explained matches — matching and scoring only.

We grant you a personal, revocable, non-exclusive licence to use the Platform while you maintain an account. All intellectual property in the Platform (software, trademarks, scoring methodology) remains exclusively owned by Career Engine Inc..

4. Use of AI & Scoring Accuracy

The Platform uses algorithmic and AI-assisted matching to screen and score job postings against your résumé. This scoring is provided for informational purposes to help you prioritize your search — it is not a guarantee of fit, interview likelihood, or employment outcome, and you should independently evaluate any match before acting on it.

5. Billing & Subscriptions

Paid plans are billed through our payment processor (Stripe) on the cadence you select (monthly or annual). New subscriptions include a 14-day free trial unless stated otherwise at checkout. You may cancel at any time from your account's billing settings, effective at the end of the current billing period; we do not provide partial-period refunds except where required by law.

6. Privacy Policy and Data Sharing

We take your privacy seriously. To learn how we collect, use, and protect your personal data, read our Privacy Policy.

7. Our Liability

The Platform is provided on an "as is" basis. We do not guarantee uninterrupted availability or that every match will be relevant. To the extent permitted by law, our liability for any claim arising from your use of the Platform is limited to the amount you paid us in the twelve months preceding the claim.

8. Your Responsibilities

The Platform Terms' Acceptable Use & Prohibited Conduct section applies to your use of the Platform and lists what you agree not to do. Violations may result in account suspension or termination, and we may pursue legal remedies where appropriate.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved in the courts of that state.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or a notice on the Platform before they take effect. Continued use after notice means you accept the updated Terms.

Platform Terms

These Platform Terms govern general acceptable use of the Career Engine website and application, in addition to the Job Seeker Terms that apply to your candidate account.

1. Acceptable Use & Prohibited Conduct

You agree to use the Platform only for its intended purpose — finding and evaluating job opportunities. This is the single, canonical list of prohibited conduct for the Platform; the User Agreement, Job Seeker Terms, and EULA all refer back to it rather than restating it. You agree not to:

  • misrepresent your identity;
  • create or maintain more than one account per person, including fraudulent, automated, or duplicate accounts — we may verify this, including by phone number;
  • harass, threaten, or discriminate against any person;
  • submit false or misleading information;
  • scrape or bulk-extract data from the Platform;
  • reverse engineer, decompile, or attempt to extract the Platform's source code;
  • attempt unauthorized access to any account or system;
  • distribute malware or upload malicious files;
  • interfere with or disrupt the Platform's normal operation;
  • resell, sublicense, or provide third-party access to the Platform without our written consent;
  • circumvent or attempt to circumvent any plan limit, rate limit, or usage control;
  • use the Platform to infringe another party's intellectual property or other rights; or
  • use the Platform in violation of applicable law.

Violating any of these is grounds for suspension or termination under Section 6 below.

2. Intellectual Property

The Platform's software, design, trademarks (including the "Career Engine" name and logo), and underlying scoring methodology are the exclusive property of Career Engine Inc.. You retain ownership of the résumé and personal data you upload, subject to the license you grant us to operate the Service for you, described in the User Agreement's Your Content, and the Licence You Give Us section.

3. Account Security

You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately via our Contact page if you suspect unauthorized access.

4. Service Availability & Changes

We aim for high availability but do not guarantee the Platform will be uninterrupted or error-free. We may perform maintenance, and features may change or be discontinued with reasonable notice where practical. We also reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time, with reasonable notice where practicable and without liability to you.

5. Third-Party Services

The Platform relies on third-party services to operate — including Stripe for billing and Clerk for account authentication. Your use of those integrated services is also subject to their own terms.

6. Termination

We may suspend or terminate your access to the Platform for violating the prohibited-conduct rules in Section 1, or these Platform Terms or the Job Seeker Terms more broadly. We may also suspend or terminate access at any time, with or without cause, with notice where practicable.

Data Sharing Agreement

This Data Sharing Agreement explains what personal data Career Engine shares, with whom, and why.

1. What We Share, and With Whom

We share limited personal data only with the service providers ("subprocessors") that operate the Platform on our behalf:

  • Stripe — payment processing and billing.
  • Clerk — account authentication.
  • Our email delivery provider — sending your weekly digest and account notices.
  • Our cloud hosting/database provider — storing your account and résumé data.
  • Our AI/LLM provider(s) — processing résumé text to power matching and scoring.

Each subprocessor is contractually limited to using your data only to provide their service to us — never to sell it or use it for their own purposes.

2. What We Do Not Share

We do not sell personal data. We do not share your résumé, contact details, or profile with employers, recruiters, or any other Platform user — Career Engine has no candidate-marketplace or introduction feature.

3. Data Retention

Résumé and account data is retained for as long as your account is active. Deleting your résumé deletes its associated encrypted contact-data record. Product-usage activity logs (used for support/troubleshooting) are retained for approximately 30 days on a rolling basis and then automatically removed.

4. International Transfers

Our service providers may process data in countries other than your own. Where this occurs, we require our subprocessors to maintain appropriate safeguards consistent with applicable data protection law.

End User Licence Agreement

This End User Licence Agreement ("EULA") governs your use of the Career Engine software and Platform, in addition to the Job Seeker Terms.

1. Licence Grant

Subject to your compliance with these terms, Career Engine Inc. grants you a personal, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose, for as long as you maintain an account in good standing.

2. Ownership

Career Engine Inc. retains all right, title, and interest in and to the Platform's software, design, and underlying technology. You retain ownership of your own résumé, profile data, and any content you upload, subject to the license you grant us to operate the Service for you, described in the User Agreement's Your Content, and the Licence You Give Us section.

3. Restrictions

The restrictions on your use of the Platform are set out in the Platform Terms' Acceptable Use & Prohibited Conduct section, which applies to this Licence as well.

4. Termination

This licence terminates automatically if you violate its terms, or when you close your account. We may also terminate this licence at any time, with or without cause. Upon termination, your right to access the Platform ends immediately.

5. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, to the maximum extent permitted by law.

6. Limitation of Liability

To the maximum extent permitted by law, Career Engine Inc. will not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
